1. INTRODUCTION
Welcome to Bluemvmt Platform and Blue/AI ("the Service"), a cloud-based software-as-a-service (SaaS) solution provided by Bluemvmt Inc. ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. SERVICE OVERVIEW
The Bluemvmt Platform provides AI-based solutions through cloud-hosted software that includes data collection, management and analysis using Blue/AI. Access to the Service is provided on a subscription basis or a one-time purchase basis, as agreed upon at the time of registration or purchase.

3. ACCOUNT REGISTRATION AND RESPONSIBILITIES
3.1. Eligibility: You must be at least 18 years old to use the Service.

3.2. Account Creation: To use certain features of the Service, you must create an account. You agree to provide accurate and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

3.3. Account Security: You agree to notify us immediately of any unauthorized use of your account or any other security breaches.

4. SUBSCRIPTION AND PAYMENT
4.1. Fees: Use of the Service may require payment of subscription or licensing fees. By signing up for a paid account, you agree to pay all fees and charges applicable to your subscription.

4.2. Payment Terms: Subscription fees are billed in advance on a recurring basis (monthly, annually, etc.) as specified at the time of purchase. All payments must be made via an accepted payment method, and you authorize us to charge your payment method for the recurring fees.

4.3. Refund Policy: Fees are non-refundable except as required by law or stated in any promotional offer. We reserve the right to change our fees at any time, and such changes will be communicated to you in advance.

5. ACCEPTABLE USE POLICY
5.1. Prohibited Activities: You agree not to:

Use the Service in any unlawful manner or for any unlawful purpose.

Attempt to interfere with or disrupt the Service or its infrastructure.
 
Reverse engineer, decompile, or disassemble the Service.

Upload or transmit any malicious code, viruses, or harmful content.

5.2. Intellectual Property: All intellectual property rights in the Service, including AI models, software, and any associated documentation, remain the exclusive property of Bluemvmt Inc. You may not use, modify, or distribute the Service beyond the scope of your subscription agreement.

6. TERMINATION
6.1. Termination by You: You may cancel your account at any time through the account settings or by contacting customer support.

6.2. Termination by Us: We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activities. Upon termination, you will no longer have access to the Service.

7. DISCLAIMER & WARRANTIES
The Service is provided "as-is" and "as available." We make no warranties or representations regarding the reliability, availability, or accuracy of the Service. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any warranties of merchantability or fitness for a particular purpose.

8. LIMITATION OF LIABILITY
In no event will Bluemvmt Inc. be liable for any indirect, incidental, or consequential damages arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or the Service will not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

9. CHANGES TO THE TERMS
We may update these Terms from time to time. We will notify you of any material changes by posting the revised Terms on our website or by sending an email to the email address associated with your account. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.

10. GOVERNING LAW
These Terms are governed by the laws of Delaware. Any disputes arising from or relating to these Terms or the Service will be resolved in the courts of Delaware.
